THIS EVENT ORGANIZER TERMS AND CONDITIONS AGREEMENT (“Agreement”) is made by and between EVENT AND LIFESTYLE CITY GUIDE INC (Mynila) a company registered in the Philippines, whose registered office is at Level 26-A Rufino Pacific Tower, 6784 Ayala Avenue corner V.A. Rufino Street, 1226, Makati City hereinafter referred to as “Mynila”.
IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, THE USER SHOULD NOT ACCEPT THESE TERMS. WE RESERVE THE RIGHT TO DECLINE YOUR REQUEST FOR THE SERVICES FOR ANY REASON AND WITHOUT NOTICE.1. OUR SERVICES AND RESPONSIBILITIES Mynila is a self serve platform which allows Event Organizers to market and promote events. Mynila shall be held free and harmless from any claim for damages or liabilities in whatever form and nature in relation to the sale of tickets and is in no way responsible for the content of events uploaded onto it's platform. Mynila shall provide the following services (“Services”) under this agreement: (i) list your events on Mynila’s website, located at the web address: https://www.mynila.com, (ii) accept and process online orders for tickets to Event Organizers event and process all credit card and other payments to said Event on Event Organizers behalf.
2. FEE’S CHARGES AND PAYMENT METHODS
The Event Organizer agrees to allow Mynila to act as the ticket agent for its events. Tickets sold through Mynila are processed by Paypal into the Event Organizer's account. Mynila has the right to charge a PHP45 (Philippine Pesos) fee for Our Services on top the total ticket price. These fees will be invoiced by Mynila to the Event Orgainzer on the 1st of every month. Tickets can be refundable in circumstances below (2.2B) and tickets are not transferable or re-sellable. Transactions of this nature adhere to the terms of section 2 below.
2.2A PAYMENT GATEWAY
Event Organiser will connect their Paypal Merchant account to https://www.mynila.com and will receive ticket payments including Mynila Service Fee.. It is the sole responsibly of the Event Organiser to ensure that the Paypal Payout Email provided to Mynila is accurate. You will update this information as necessary to maintain its accuracy. Mynila reserves the right to pause or cancel payments at any time as Mynila in its sole discretion determines to be necessary for the processing and settlement of all returns, disputed charges, customer complaints, chargebacks and other discrepancies.
It is the Event Organizers responsibility to make their event’s refund policy clear to customers. In the event of a cancelled or postpone Event, It is the Event Organizers responsibility to inform Mynila and the customers who purchased tickets. In this case the refund police is superseded by Mynila’s refund policy as detailed in (ii) below.
MYNILA DOES NOT PROVIDE REFUNDS OF ANY MYNILA FEES. IF YOU WISH TO ISSUE A REFUND INCLUDING MYNILA FEES TO CUSTOMERS AND MYNILA HAS ALREADY COLLECTED IT'S FEES IT IS YOUR SOLE RESPONSIBILITY TO ISSUE A PAYMENT DIRECTLY TO YOUR CUSTOMERS. IF MYNILA FEES HAVE NOT BEEN COLLECTED BEFORE REFUND IS MADE, EVENT ORGANIZER WILL STILL BE INVOICED FOR FEES AT THE START OF MONTH.
(i) Individual RefundsIf a ticket purchaser requests a refund from the Event Organizer and the Event Organizer desires to fulfil the request, You can provide this refund service through the orders section on the company profile on www.mynila.com. This will be a full refund including Mynila fees you have collected. Event Organizer will still be invoiced for these. (ii) Cancelled or Postponed Events
If an Event is cancelled, a refund shall be issued to all ticket customers. The event Organizer will be sent an invoice for all fees due to Mynila for such event. Mynila shall have no further liability or obligation. If an event is postponed, Mynila will use its sole discretion to determine whether it is considered a cancellation and therefore subject to the refund policy described above.
(iii) Notwithstanding the foregoing, You acknowledge and agree that, to protect its reputation and the integrity of the Site, Mynila shall have the right (but not the obligation) to force or provide a refund to Ticket Customers of any or all amounts paid for tickets at any time for any reason or no reason, including without limitation if Mynila receives complaints from a substantial number (as determined by Mynila in its sole discretion) of Ticket Customers with respect to an Event or Mynila determines in its sole discretion that the Event Organizer has engaged in any fraudulent activity or made any misrepresentations. Mynila shall have no liability whatsoever to an Event Organizer in connection with or arising from any such decision to force or provide refunds.
2.2C MYNILA FEES
Event Organizers receive ticket sales directly into their Paypal account. Event Organizers are also collecting the Mynila Service Fee at this time (PHP45). Since we haven't collected our Service Fee at the time of purchase Mynila will invoice all fees to Event Organizer at the 1st of every month. This is accessible on the "Invoice tab" on the Event Manager Dashboard. All invoices must be paid within 14 days and failure to do so before the event start date can lead to termination of Event Organizers ticketing solutions on https://www.mynila.com.
2.2D RESALE AND TRANSFER OF TICKETS
The resale and name transfer of tickets is prohibited under any circumstance.
2.3 COLLECTION COSTS
In the event that the Event Organizer do not pay Mynila upon request any amount required to paid under this Agreement, Mynila shall be entitled to pause or cancel all ticketing technology hosting on Mynila from Event Organizer. The Event Organizer will also be liable to any amounts otherwise owing, its reasonable costs of collection, including, without limitation, collection agency fees, reasonable attorneys ' fees, and court costs
3. TAXES & WITHHOLDING
Event Organizers are responsible for all taxes or other governmental charges associated with the Event and/or the sale of tickets through the Services (except ties based on Mynila’s net income). It is the Event Organizer’s responsibility to know if any applicable laws apply to you and adjust the ticket price accordingly.
4. EVENT RESTRICTIONS
When submitting Your Event to Mynila to be listed on Our Service, it is Your responsibly to communicate any event age restrictions associated with said Event. It is also Your responsibility to verify that all customers can be admitted to Your Event and to make sure all restrictions are in place upon day of Event.
You understand and agree that the Site may, at times, be inaccessible or inoperable for any reason, including, but not limited to: (i) equipment or communications malfunctions; (ii) periodic maintenance, repairs, or administrative reviews which We may undertake from time-to-time; or (iii) causes beyond Mynilas reasonable control or which are not reasonably foreseeable by Mynila, such acts of government or the malicious or criminal acts of third parties. Event Organizers are responsible for informing Mynila of any bugs or issues with the platform. Mynila is in no way liable for losses caused by these bugs or issues, but will endeavour to fix these as soon as possible.
6. MISREPRESENATION/ MISUSE OF EVENT PROFILE
Mynila accepts no responsibility for misused Event Organizer accounts. Mynila is not liable for loses incurred due to the misuse of an account by the account owner or any other party. This includes but is not limited to: incorrect withdrawal of funds, incorrect event information and other general misuse of the account. If Mynila discover and determine, in our sole discretion, that Event Organizers have misrepresented the Event, We will cancel the Event and may issue a refund to ticket purchasers (net of any Fees) as provided in this Agreement and Mynila reserves the right to pursue other actions as permitted by law.
7. TECHNICAL SUPPORT
Mynila will provide technical and other customer support to the Event Organizer by which you can obtain assistance in dealing with any difficulties which may arise in the connection with use on Mynila’s site. Mynila attempt to provide such support in a timely manner, but make no guarantees that We will respond to inquires by a particular time.
Either party may terminate this Agreement immediately by notifying the other that this Agreement is terminated by post or email.
Event Organizers grant Mynila a limited, worldwide, royalty-free license to use images, names, trademarks of event, artist(s), talent(s) on Mynila website and other advertising or promotional materials, in all media (including print and Internet) as a means to support the event. Whether now or hereafter existing, for the purpose of referring to you as a Mynila customer and/or describing our services for you.
Mynila will provide the Event Organizer with its logo and ticketing URL which the Event Organizer agrees to prominently display in its media, posters and press release.
Note: The company reserves the right to ensure that this website in maintained in good condition and within the scope of good ethical standard. Thus Mynila has the right to change the terms and conditions with no prior notice and/or acknowledgement of the user. We recommend you check and review the terms and conditions regularly.
